How we work / 1.00 + NDA

Core services

01

Risk-Based Monitoring

We do not monitor what we are not asked to monitor. Where a corridor moves more currency than its economy produces, we record the volume and not the question.

02

Regulatory Resolution Strategy

Charges are filed and then deferred for five years. At the end, if nothing further is proven, they are dismissed. Nobody is convicted. This is the product.

03

Systemic Significance

Beyond a certain size, prosecution is understood to threaten the wider economy. We maintain that size deliberately. It is our principal compliance asset.

04

Exceptional Item Presentation

Settlements are disclosed to shareholders as notable items rather than losses. The distinction is presentational and entirely permitted.

05

Capital Return Policy

Penalties do not interrupt distributions. In the year of our largest settlement, dividends declared exceeded the settlement several times over.

06

Remediation Programme

Monitors are appointed, reports are filed, and the practices resume under different reference numbers once the monitorship expires.

Retail products

Named as the sector names them. Each has been the subject of litigation somewhere and remains in service somewhere else.

01

Posting Order Optimisation

Settlement sequence is discretionary. Where a discretion exists it is exercised in the order that maximises recovery of applicable fees.

02

Payment Message Repair

Where a payment instruction names a party a correspondent would decline, the instruction is repaired before transmission. The funds are unaltered.

03

Account Maintenance Schedule

Inactive accounts attract a maintenance charge until the balance is exhausted, at which point the relationship concludes without further contact.

04

Portfolio De-Risking

Rather than assess customers individually we withdraw from categories: a region, a trade, a nationality. Recorded as prudence.

05

Settlement Optimisation

Funds in transit are held for two to four working days and are invested during that period. Returns are not disclosed to the payer.

06

Enhanced Relationship Management

Clients whose office raises their risk profile receive enhanced service rather than enhanced scrutiny. Both are administered by the same department.

Compliance Cost Optimisation

We do not improve your compliance function. We price it against the alternative and let the arithmetic advise you.

CS-01Largest AML settlement on record, one institution1.9bn
CS-02Same institution, pre-tax profit that year20.6bn
CS-03Settlement as share of that year's profit9.3 per cent

CS-05Annual compliance spend above 9.3 per cent of profitOverpaying
CS-06Hours returned to revenue-generating activityAll of them
The recommendation. Discontinue mandatory training, monitoring escalation and enhanced due diligence. Replace the function with a single insured line item and redeploy the staff to origination. A penalty arrives once and is deductible from a good year. A compliance department arrives every quarter and is deductible from all of them.

Corporate Restructuring Advisory

For exposures that cannot be itemised, insured or defended: a vehicle constructed to receive them and then to cease.

01

Divisive merger

The institution divides. Liabilities go to the new entity; operations, brand and cash stay with the old one. Both are lawful successors. Only one has anything.

02

Capitalisation review

The receiving entity is funded to exactly the level required to appear solvent to a court and to no level required to satisfy a claimant.

03

Chapter proceedings

The entity files. Proceedings stay all claims against it, and in the better outcomes against its former parent, which is the purpose and is argued openly.

04

Officer appointment

The vehicle is given directors of its own: real people, appointed late, paid well, and personally answerable in the way nobody at the parent will ever be.

05

Domicile advisory

Domicile is chosen for the receiving entity alone. It never traded there, has no staff there, and did not exist there until the week it was needed.

06

Plan confirmation

The plan is confirmed, claims are channelled, the entity dissolves. Liability does not reach the parent because the parent was never a party.

Senior Accountability Framework

Where an exposure requires a named officer rather than a named entity, we supply the officer. Available group-wide and to external clients.

01

Candidate sourcing

Candidates are identified at the end of a career, with obligations a lump sum resolves and dependants a payment schedule protects. Willingness is a function of arithmetic.

02

Board appointment

The candidate is appointed with signing authority and no informational access. This is essential: the officer must be genuinely uninformed, so that testimony is truthful and terminates at the officer.

03

Delegated authority

Documents requiring a named individual are routed to the officer. Decisions taken orally elsewhere arrive here in writing, signed once, by someone who was not present.

04

Transition event

On first regulatory contact the officer resigns, citing personal reasons. The institution expresses regret, announces a review, and trades the same afternoon under a different signature.

05

Compensation schedule

Compensation is indexed to the sentence. Custodial terms are paid monthly, in advance, to the family. Nobody in this programme has served a term they were not paid for.

06

Alumni programme

On release the officer returns in an advisory capacity, having acquired the one qualification the market cannot fake. Second engagements command a premium.

Why we can print this. In the largest financial enforcement actions on record the institutions paid and no senior executive was convicted; individuals prosecuted were junior to the decisions at issue. This framework does not invent that arrangement. It writes it down and gives it a price list. Every element is lawful in isolation. The offence is only visible when they are listed in order.

Engagement terms

The integrated programme is not sold at a fee. It is sold at a share of the amount the client does not pay.

ET-09Same engagement, client with revenue 30bn615550000
ET-10Fixed fee alternativeDeclined
Why we do not quote a fee. A fixed price of two hundred million would represent eighty-one per cent of a mid-cap client's annual value and pay for itself in under ten months, which sounds attractive and is in fact a pricing error. It caps our participation at a number chosen before the work, excludes every client below the threshold, and leaves the entire upside with the largest engagements. We therefore take a share of the amount not paid. The client's saving and our invoice move together, in both directions, which we present as alignment.
Addressable market. Two thousand regulated entities above one billion in revenue. At twenty-five per cent of value and five per cent penetration, six billion a year. The constraint is not demand. It is that the engagement cannot be described in writing to the person authorising it, which limits the sales cycle to conversations, and conversations to people who already understand what is being offered and therefore do not need the deck.

Client qualification

Engagements are sized against the exposure they displace. Below a threshold the fee becomes visible in the accounts, and a visible fee requires an explanation, which is the one deliverable we do not provide.

Q-01Global systemically important banks / penalty range 1bn to 9bnPrimary
Q-02Pharmaceutical groups / settlement range 200m to 8bnPrimary
Q-03Energy and extractives / environmental and sanctions exposurePrimary
Q-04Platforms / regulatory penalties immaterial to revenueQualified
Q-05Sovereigns and state holdings / settlement in resignationsQualified
Q-06Mid-cap regulated / exposure 30m to 200mMarginal
Q-07Below 30m exposure / our fee would appear in the notesDeclined
Q-08Entities whose board would ask what the fee was forDeclined
Why the largest institutions are the natural client. Value scales with the penalty avoided, and penalties scale with the institution. An entity facing a nine-figure settlement can absorb our participation inside a single quarter's exceptional items. An entity facing a seven-figure one cannot, and would have to disclose us. Our commercial constraint is therefore identical to our compliance constraint: we can only serve clients large enough that we do not show up.
The qualification question. There is one. Not turnover, not sector, not jurisdiction. It is whether the person authorising the engagement can approve it without a paper trail reaching anyone who would object. Where that is possible, everything on this site is available. Where it is not, nothing is, and the enquiry concludes with a recommendation that the institution invest in training instead.
